May 3/NYC: Running for the Border: Considerations and Challenges for U.S. Counsel to Outbound Latin American Transactions

As companies and funds in Latin America benefit from the recent economic growth in Chile, Mexico and Brazil, an increasing number of the Latin American businesses are seeking to raise and deploy capital outside their domestic markets. Many seek to raise capital in the United States, and the laws of the United States often govern the cross-border M&A transactions in which such companies act as buyers. In this seminar, we will explore the role of U.S. counsel to Latin American businesses and the challenges U.S. counsel face, in the context of capital markets transactions in the United States and in cross-border mergers, acquisitions and buyouts in the United States and beyond.
