November 7: NYC - A Price Worth Paying? Understanding Board Responsibilities and Liabilities

Join us for a discussion of what can happen if boards of directors and senior executives don’t effectively monitor the many risks affecting their companies and don’t react carefully when crises strike.
This interactive CLE will feature a screening of A Price Worth Paying? The film, which was recently the subject of a front-page article in the Wall Street Journal, was written by Dechert partner Duncan Wiggetts and focuses on the difficult issues of executive compensation, the evaluation of risk around an acquisition in an emerging market, the depth of inquiry of an Audit Committee and the adequacy of the response to a serious whistleblower allegation. It reinforces the importance of setting the right “tone from the top” and the need for directors and senior legal officers to ask all of the right questions.
Throughout and after the film, the panelists will lead a discussion about the board’s responsibilities, liabilities and resulting potential causes of action.
