The goal of this CLE presentation is to discuss bias and where it comes from; why it is harmful; how to detect it and how to eliminate it from our behavior as legal professionals. Practicing law is a bias landmine. From whether we believe a witness or opposing counsel; to how we counsel those in our organization we readily apply judgments to others — coloring our perceptions and thoughts. There is no cure for bias, but you can be more mindful, conscious and monitor your thoughts better. These are the four main questions we will answer in our discussion today: What is bias? What are unconscious and confirmation biases? What are the effects and costs of bias? And, finally how can we avoid bias through thinking about our thinking and implementing best practices?

Artificial Intelligence (“AI”) and other emerging technologies, while holding the promise of helping lawyers serve their clients efficiently and effectively, can also raise many complex ethical issues. Although an attorney’s ethical obligations remain unchanged regardless of technology relied upon in practice, in certain respects, the current rules of professional conduct may not have entirely “caught up” with emerging AI technology.

March 27: National Security Review of Foreign Investment Transactions

While bipartisan legislative successes have been few and far between in our highly-charged political environment, a general consensus on the need to provide a stronger framework for reviewing foreign investment in US companies led to the passage of the Foreign Investment Risk Review Modernization Act (‘FIRRMA’) in the summer of 2018. The issuance of a final rule in January 2020 implementing FIRRMA subsequently crystallized the process for CFIUS review of inbound transactions. 

This seminar will review the landscape leading to FIRRMA, the highpoints of the new regulatory process, and provide an update on recent developments as changing national security concerns continue to provide calls for additional regulatory changes. It will also offer significant instruction on techniques for researching various aspects of this topic—from legislation to regulation and even how to analyze market examples of CFIUS approval clauses in M&A agreements.
