February 28: Good Deals Gone Bad for In-House Counsel: How In-House Counsel Need to Navigate Commercial Matters Headed for Litigation

Contract disputes with parties and third parties are common and even to be expected. Even the most carefully drafted and negotiated agreement can find itself the subject of sprawling litigation involving multiple parties, claims, counterclaims, and cross-claims.
Having a deliberate, strategic action plan to employ early on in a dispute or anticipated dispute can save a company significant time and expense in protracted litigation. A front-loaded, tailored approach often leads to the best result.
Join us on Wednesday, February 28, 2024 at 12pm ET / 9am PT for an important session with Benjamin Lajoie and Greg Scialabba, experienced litigators of McGlinchey Stafford, on strategic insights and tactical considerations to help resolve contract disputes and remedy good deals “gone bad.”
Discussion topics include:
  • Underutilized techniques and considerations to increase leverage, value, and mitigate risk in pre-litigation and litigation disputes.
  • Realistic assessments of risks, exposure, liability, and opportunity.
  • Best practices when facing the threat of or potential need to file a lawsuit arising out of a business deal.
  • Negotiation and structuring of settlements to resolve disputes and give peace of mind.
  • Special considerations to issues such as emergency injunctive relief, trade secrets, non-competes, affiliated entities, choice of law and venue, and addressing distrust or potential bankruptcy.
Who should attend:
All levels of in-house counsel, contract managers, and legal operations professionals who handle, manage or oversee contract negotiations, pre-litigation and litigation disputes.

Date+Time:
Wednesday, February 28, 2024
12pm ET / 9am PT
Speakers:
  • Benjamin P. Lajoie helps businesses – financial institutions, trusts, contractors, manufacturers, and others – in commercial litigation. He defends and prosecutes business torts, unfair and deceptive trade practices, contract disputes, and other claims, including lawsuits stemming from failed business deals. Ben skillfully navigates complex disputes with many variables, from counterclaims to cross-claims to subpoena enforcement actions and other related issues. His strategic approach to client advocacy and representation yields repeat clients who turn to him for help with critical decisions. Because he understands the cost and disruption of litigation, Ben takes a practical, holistic approach to solving his client’s challenges. He designs and executes solutions that match their business and financial objectives, often advising them to help avoid litigation altogether. Pragmatic with sharp business instincts, Ben guides clients to identify the best result possible for resolving their dispute, then works with them to design and implement effective case strategies for achieving their objectives. He tunes in early to what matters most to each client and devotes his time accordingly. Ben serves as outside general counsel for some clients and runs point on litigation for others. They know he is thoughtful, strategic, and responsive to their needs and expectations, and rely on him to be their “path of least resistance” to a favorable outcome.
  • Greg Scialabba is a commercial litigator with a diverse practice. He handles matters ranging from complex commercial disputes and financial services litigation to business torts, government investigations, and regulatory proceedings in state and federal courts. He has experience managing allegations of breach of confidentiality and fiduciary duties, shareholder disputes, and other business issues. Greg is skilled in many facets of litigation, from pleading and motion practice to depositions and settlements through negotiations. With a background spanning a wide range of litigation, Greg also has experience with employment litigation matters, including non-compete agreements, wage and hour claims, and discrimination and harassment allegations. He also has extensive insurance defense experience and has defended professional liability, premises liability, and construction liability cases. Greg has experience working on class action matters as well. The more complex the issue, the more Greg enjoys digging in to devise a creative solution that works for the client. A curious nature as a lifelong learner suits him well in the law, where every day involves a different challenge and opportunity to think creatively.

January 24: Legal Ethics in the Cloud

As early as 1995, the American Bar Association recognized the potential risks associated with emerging technology and the associated need for attorneys’ ethical compliance. Since then, the ABA and all United States jurisdictions have provided opinions and updates to the ethical rules to address attorneys' use of cloud technology in legal practice.
Presented by LEAP Legal Software and featuring law firm consultant and technology expert Chris Vaughan, this one-hour continuing legal education seminar will discuss the types of cloud computing, common attorney uses of the cloud (including reasons why attorneys should be embracing cloud technology), due diligence pointers, HIPAA compliance, and ways to minimize risk of user error. As part of our due diligence tips, we will provide a checklist of questions attorneys should consider before utilizing cloud computing platforms.
It’s very likely that you are already using cloud-based platforms in your day-to-day life as well as in your legal practice; our questions will help you to assess whether your current set-up provides the requisite accessibility and flexibility to your firm while simultaneously providing the high level of privacy and security required by your clients.
The program will benefit attorneys in private practice, particularly those tasked with maintaining their law firm’s information technology infrastructure. There is no cost to attend this event. CLE Credit is pending approval.
