June 23: Commercial Real Estate Restructuring - Trends and Outlook

The pandemic has negatively affected most classes of commercial real estate (CRE); however, some CRE sectors such as e-commerce warehouses, self-storage facilities, certain grocery stores, and medical spaces have done better than restaurants, retail spaces, hotels and shopping malls for example.
With an undefined end to the pandemic, there is still a tremendous amount of uncertainty regarding the commercial real estate market. This situation has also presented innovative possibilities including affordable rental prices, vacancies in sought after locations, and a shift towards a greater use of technology and digitalization.
Supported by data findings from Bloomberg Law’s 2021 Commercial Real Estate Bankruptcy Survey, this webinar panel will discuss industry trends – with explanations from speakers on the short-and long-term strategies and innovative ways to address distressed CRE clients.
Learning Objectives:
  • Understand how the pandemic affected the commercial real estate market
  • Recap recent legislative amendments to the Bankruptcy Code
  • Examine distressed lending patterns and outlook
  • Develop creative restructuring solutions that help businesses stay afloat.
This webinar is intended for advisors of landlords and tenants of commercial real estate, advisors of CRE funds and assets management companies, as well as bankruptcy practitioners.

Livestream Option Information

Attorney Clem writes:
I will also be doing a livestream of this program, which I plan to offer for Iowa and Minnesota credit. Unfortunately, I will not be applying for Nebraska credit for the livestream. This is something of an experiment, and many things can go wrong. Therefore, if you are in the Sioux City/South Sioux City area, I encourage you to come in person.

The livestream program will take place on Facebook live, on my personal Facebook page, along with the cat pictures, political rants, etc. If you go to my Facebook page at noon on Friday, the live video should be at the top of the page. Maybe Facebook won't work. Maybe my phone will run out of data. Maybe my phone's battery will go dead. So if you desperately need one credit, then you should show up in person. But if you can't do that, here's how to watch online:

  • Go to my personal Facebook page at 12:00 Central Time, Friday, May 21. Here is the link: https://www.facebook.com/richard.clem.35 It should say something like "Richard Clem is live," and show the video. You probably need to turn on the sound manually. To get live credit, you need to watch the program live. Therefore, I will disable access to the recording shortly after the program.
  • Listen to the program. If you have any questions, send them in the chat area, and I will address them at the end.
  • During the program, I will give a series of code numbers. Write down these numbers.
  • After the program, send me an e-mail with the code numbers, along with your full name and state in which you are admitted. If you are taking the program for Iowa credit, you must put this in affidavit form. Simply preface your e-mail with the following language: "I declare under penalty of perjury under the laws of the State of Iowa that I watched 60 minutes of this program on May 21, 2021, and heard the following code numbers:" Sign the affidavit by typing your full name. Send this via e-mail to clem.law@usa.net.
  • I will send you a certificate of attendance when I return to my office Monday.

For the livestream, one credit has been applied for in Iowa and Minnesota. Iowa activity number 365121 (approved), Minnesota event code 370780 (pending). (The live program has different code numbers--see below).

May 25: Climate Change, Financial Markets & Corporate Disclosure

Climate change is no longer just a question of environmental policy. President Biden has instructed all federal agencies to consider the climate implications of their actions. Treasury Secretary Janet Yellen has called climate change an "existential threat" to the global financial system and an urgent concern for federal regulators.
In March, the Securities and Exchange Commission asked for public input on whether current disclosure requirements adequately inform investors, market participants, and the public of climate-related risks. According to some, financial markets systematically underprice the broad, systemic risks presented by global climate change. Others discount the value of more stringent climate disclosure requirements and question whether financial and securities regulators are in the best position to address climate-related concerns.
  • Does climate change post a risk to the U.S. or global financial system?
  • Should the SEC and other federal regulatory bodies incorporate climate change into existing disclosure and regulatory requirements?
  • Or, might such requirements do more harm than good?
Please join Professor Madison Condon of the Boston University School of Law and Professor Kevin Haeberle of William & Mary School of Law for a discussion of these and related topics.

“The Internet is becoming the town square for the global village of tomorrow.” -- Bill Gates
The goal of this free online continuing legal education program is to assist attorneys in navigating online legal research so they are more confident and competent when researching subjects important to their work. The growth in the amount of information available and the many different platforms on which to obtain it impacts the way attorneys practice law. It also brings forth more issues and new laws that your clients may face. The many ways technology can aid attorneys in locating the best and most on-point statutes, caselaw, secondary materials and all relevant materials can be overwhelming. May 12: Seattle Domestic Workers Ordinance: What You Need to Know

In 2018, Seattle City Council passed an ordinance granting domestic workers—such as house cleaners, nannies, gardeners, and home care workers—basic worker rights from which they have long been excluded.
Seattle’s ordinance is in the forefront of a similar labor laws that have passed in a growing number of states and cities over the past decade and that are helping bring domestic workers out of the shadows and providing them with basic rights and dignity and a career. There are an estimated 33,000 domestic workers in Seattle and 2 million across the U.S. and domestic work is one of the fastest growing professions in the country. Yet many Seattle employers of domestic workers are unaware that they are covered by the ordinance and that their homes are a workplace. Domestic workers are disproportionately women, immigrants, and BIPOC and may face cultural, language and other barriers to knowing and enforcing their rights. Legal professionals can assist both workers and employers with awareness of their rights and obligations under the Seattle ordinance.
This program will address the following topics:
  • The history of the exclusion of domestic workers from labor laws
  • The worker led-campaign for the Seattle Domestic Worker Ordinance
  • Overview and significance of Seattle’s Domestic Worker Ordinance
  • Enforcement issues and challenges
  • Best practices and resources for creating a safe and fair domestic worker workplace (generally and during Covid-19)
  • Your questions and how you can get involved.

May 12: Winning the Proportionality Fight: Strategies for Articulating and Countermanding Assertions of Burden

Since the 2015 Amendments to the Federal Rules of Civil Procedure, proportionality has taken on an increasingly central—and some may argue, disproportionate—role in discovery disputes. In today’s battles over electronic evidence, proportionality can act as both a shield, allowing parties to avoid unnecessary and overly burdensome discovery, and a sword, striking down otherwise reasonable discovery due to a party’s slow, expensive, or outdated processes.
Join us Wednesday, May 12, for this webinar on proportionality disputes in eDiscovery, featuring seasoned litigators David Slarskey and Renee Bea of Slarskey LLC and Mariano Schwed, Senior Vice President, Law Department at NBCUniversal.
Attend to learn:
  • The evolution of the proportionality standard and traditional metrics used to evaluate burden
  • Sources of actual burden and tools and strategies for reducing them
  • Accurately articulating and countermanding assertions of “burden.”
  • Substantive advantages to getting “ahead of the burden”

May 27: Mental Health Concerns While Practicing and Waiting for Full Vaccination

Join Florida Lawyers Mutual Insurance Company and our friends at @FLA_LAP for an urgent look at #LawyerWellBeing in this late-stage pandemic. Our program will cover stressors that can affect lawyers to a greater degree than some, if not most, other professions, and ways to address mental health while waiting for herd immunity to arrive, allowing us to return to normalcy post-COVID-19. Working from home or in restricted office settings, has increased the blurring between work and home, stacked on top of a decade of 24 hour per day 7 day per week technology access that in an increasing number of cases prevents lawyers from getting away and de-stressing.

May 7: Disposition, Post-Disposition, and Probation

Advocacy at the disposition phase of a case can have a significant impact on the consequences of adjudication for a child. Effective representation requires knowing the range of dispositional options available under the law, including placement options, and the resources available within the local community.
Child’s counsel must understand how risk assessments and evaluations are considered in developing dispositional recommendations and how conditions of probation must be tailored to the individual client. The ability to effectively communicate and collaborate with the child client in order to develop a dispositional plan is critical.
This webinar will address these essential topics as well as provide a foundational understanding of how the probation system ideally functions and how this is relevant to the work of the juvenile defender. In addition, since the responsibilities of child’s counsel do not end at disposition, this webinar will address the juvenile defender’s responsibility to counsel the juvenile client on their right to appeal and provide continued advocacy at all review or revocation hearings.

May 6: Valuing Damages in Labor and Employment Cases: Discrimination | Fair Pay Act | Wrongful Termination | Class Action

On May 6, 2021, at 3:00 p.m. (ET), The TASA Group, in conjunction with forensic economist Nora Ostrofe, will present a one-hour interactive webinar presentation, Valuing Damages in Labor and Employment Cases: Discrimination | Fair Pay Act | Wrongful Termination | Class Action, for all legal professionals.
During this presentation, Nora Ostrofe will discuss:
  • The fundamentals of how economists calculate damage claims in discrimination, Fair Pay Act, wrongful termination, and class action (including wage and hour) cases.
  • State and Federal Equal Pay Act, and Title VII discrimination cases often require detailed calculations of compensation with, and without, discrimination.
  • Wrongful termination wage loss claims, or calculations of back pay and front pay, can be quite challenging.
  • Class action cases frequently require management and analysis of voluminous and frequently disorderly data sets.
  • Perspectives that experts can take that influence value.
  • Useful practice pointers, such as: minimizing economic expert fees; obtaining economic data through discovery from recalcitrant opposing counsel; and how to depose and cross examine economic experts.

May 5: Whose Risk Is It Anyway?

This webinar will focus on the application of co-insurance provisions in property insurance policies. The presenters will discuss sample policy wordings and the effect of co-insurance on claims. They will analyze co-insurance provisions in the context of agreed value policies and, in particular, how these provisions apply in partial loss and total loss scenarios. In doing so, they will review case law and statutes from around the country to identify how courts have interpreted and applied co-insurance provisions generally, and in agreed value policies specifically. Further, they will apply what is reviewed to a case study to see how these provisions work in a real life claim scenario.
The presenters will discuss:
  • Co-insurance provisions generally. What they are, where you find them, and why they exist
  • Agreed Value Policies; their relation to co-insurance, and how they are interpreted
  • Co-insurance/Agreed Value Policy in action – a case study
  • New Lloyd’s proposed property damage valuation and average clause.

June 3+4: Civil Litigation in a Post-Covid World

Now is the winter of our discontent
made glorious summer by this son of York;
and all the clouds that low’d upon our house
in the bosom of the ocean buried.
- Richard III, Act I, Scene I

We have all now come through the winter of a COVID-driven discontent. It has left its mark on our work as lawyers, our courtroom procedures, our legal responses to calamity, and our views of government. So, what happens now?
That is the question our speakers will address at the 27th Annual Clifford Symposium. While there truly is a basis for thanksgiving, the road ahead may be far from smooth. It was, after all, the loathsome future monarch, Richard III, who proclaimed in Shakespeare’s play the dawning of a “glorious summer.” Will our post-COVID time be as fraught? We certainly hope not, but we need to address matters, so that problems may be dealt with, tyrants thwarted, and the legal system harnessed to facilitate recovery.
To these ends we have assembled a remarkable group of scholars. They will examine the psychological and procedural effects of the methods COVID produced. They will consider our social safety nets, both through insurance and the application of tort law. Finally, they will take a close look at the role that has been and, in the future, may be played by government.
