February 24: Vaccine Mandates: Red Light, Green Light & Where to Go From Here

Prepare for implications of policy developments on your workers and your workplace. As more employers return to the office, businesses and the law firms advising them will be forced to face tough questions around vaccine policies and implementation.
Do employers have to treat vaccinated and unvaccinated workers the same? Can employers keep unvaccinated workers out of common spaces or separate their workstations? Do employers have a duty to protect workers from harassment based on their vaccination status? Should employers revise their vaccine policies to account for booster shots?
As legal professionals advise on these contentious areas of labor and employment, they must also be keenly aware of the fast-paced federal and state legislative actions influencing the guidance they provide.
This webinar is designed to help in-house and external counsel answer questions about creating and implementing a worker vaccine program as we enter the second full year of the pandemic. Our panel of experts will discuss the latest developments around vaccine mandates, the questions around religious and disability exemptions, and offer practical tips to help employers stay in compliance and avoid potentially unsafe and costly penalties.
Learning Objectives:
  • Understand the legal, business, and workplace implications of employer vaccine mandate policies across key employer types and industries.
  • Address issues around vaccinated vs. unvaccinated workers including potential physical separation, questions around harassment, ADA questions and more.
  • Learn how to avoid common pitfalls of vaccine mandate programs.
  • Understand best practices for receiving and responding to worker objections and accommodation requests.

February 24: Climate Change Returns to the Supreme Court: The Issues and Stakes in West Virginia v. Environmental Protection Agency

On Feb. 28, 2022, the U.S. Supreme Court will hear oral arguments in West Virginia v. Environmental Protection Agency, the latest legal challenge to the EPA’s authority to regulate greenhouse gas emissions under the Clean Air Act. The central issue in the case is the scope of the agency’s authority to control greenhouse gas emissions from the power sector, and whether EPA regulations may rely upon or require broader changes in the utility sector to reduce emissions.
In addressing this issue, the Court has been asked to consider the “major questions” doctrine, and a resulting decision could have far-reaching implications for climate policy, environmental law and the continued vitality of the federal administrative state. Please join us for this one-hour webinar in which Professors Heinzerling and Coleman will unpack the legal issues confronting the Court, and their implications for climate policy and administrative law.

Wellness Program: Mind, Body, & Soul: Defining Well-Being in Law

Since the National Task Force on Lawyer Well-Being issued its Report & Recommendations in 2017, there has been much progress. However, a culture shift around well-being and sustained innovation still faces certain challenges. To be a good lawyer, law student or judge, one has to be well. To achieve well-being, we have to engage in a continuous process in which we “strive to thrive” in each of the following dimensions of our lives: emotional, intellectual, occupational, physical, spiritual and social.
Our panelists will discuss what constitutes well-being in each of these six components, provide some best practices that everyone can employ in their own lives and in their work or school setting, and consider where we have been and the challenges we face as we move forward on this front.
Speakers:
  • Moderator: Robert A. Clifford Founder and Senior Partner, Clifford Law Offices
  • Erin Clifford Partner, Clifford Law Offices and Founder/CEO of Erin Clifford Wellness
  • Brian Cuban Lawyer and Author of "The Addicted Lawyer" Tracy Kepler CNA Risk Control Director, Adjunct Law Professor and former Director of the ABA Center for Professional Responsibility

  • The program, Mind, Body & Soul: Defining Well-Being in Law, has been accredited for 1.00 hour in ethics by the State Bar of Texas.
Diversity & Inclusion Program: Mind, Body, & Soul of Diverse Lawyers: The Weathering Effect

It is coming to light that lawyers of diversity can be impacted by “the weathering effect.” This relatively new term will be discussed in the context of how one’s experiences and reactions as a lawyer in a diverse community are different because of one’s race, gender, ethnicity, disability, socioeconomic status, and other diverse factors. The weathering effect can create an erosion of professional, mental, emotional, physical, and spiritual health from unconscious bias and the daily microaggressions that one of diversity is forced to endure. This can impact the way one responds to certain situations and can ultimately impact one’s outlook, health or longevity in the profession. It can make one more vulnerable or more callous in certain situations, more so and more sensitized than those who are not considered part of a minority community. It can create mental blocks. The concept of intersectionality – members of the profession falling into more than one identity group – and the toll it takes on those in figuring out how to react given the situation and the group into which one falls also can be exhausting.
This highly experienced panel will openly discuss their experiences and beliefs in what is happening in this arena and will offer suggestions as to how everyone can become more aware in order to improve the health of the profession.

February 15: Intimate Lies and the Law

Join the Minnesota Law Academic Engagement Committee, students, faculty and alumni as Professor Jill Hasday discusses her book Intimate Lies and the Law with Fourth Judicial District Judge Charlene Hatcher. Suppose you discover that an intimate has deceived you and inflicted severe—even life-altering—financial, physical, or emotional harm. After the initial shock and sadness, you might wonder whether the law will help you secure redress. But courts and legislatures routinely deny deceived intimates access to the remedies that are available for deceit in other contexts.
Jill Elaine Hasday’s Intimate Lies and the Law (Oxford University Press 2019) is the first book to uncover the hidden body of law governing deception in dating, sex, marriage, and family life. Hasday argues that the law has placed too much emphasis on protecting intimate deceivers and too little importance on helping the people they deceive. Entering an intimate relationship should not mean losing legal protection from deceit.

February 8: A Price Worth Paying?: Proactive Risk Management for Corporate Counsel

It has now become routine to see reports of corporate activities morphing into full-blown, headline-grabbing crises. These events spawn a host of government and regulatory investigations, enforcement actions, and shareholder litigation. Using a proprietary film produced by Dechert LLP – “A Price Worth Paying?” – we will set the stage by going inside a fictional company, Maartel International, and dissecting how its corporate leaders created and attempted to address high-risk issues in the areas of setting executive compensation, conducting risk assessment and due diligence in M&A, and responding to serious whistleblower allegations. The film, packed with issues and designed to provoke lively debate, facilitates an interactive dialogue aimed at spotting hot topics and discussing how these fictional corporate leaders failed to prevent and appropriately address these complex problems.
Following the presentation of “A Price Worth Paying?,” we will turn to two of the Firm’s leaders and distinguished white collar practitioners for a discussion of how the crisis at Maartel could play out in the real world of high-stakes civil, criminal and regulatory litigation. Our lawyer team will discuss how to effectively handle and defend these matters and, along the way, provide valuable insights based on decades of experience handling these types of high-stakes matters. As part of the discussion, our practitioners plan to address a wide array of topics, including:
  • DOJ investigations and criminal enforcement
  • SEC investigations and enforcement
  • Managing parallel civil and criminal matters
  • Managing cross-border investigations
  • Ethical considerations when conducting internal investigations and handling whistleblower claims
  • Crisis management and PR strategies
  • Key topics in the FCPA or other anti-corruption analogues
  • Securities class action litigation
  • Derivative litigation against Ds & Os

March 4: The Rule of Law in the United States: An Unfinished Project of Black Liberation

What is the American rule of law? Is it a paradigm case of the strong constitutionalism concept of the rule of law or has it fallen short of its rule of law ambitions?
"The Rule Of Law In The United States: An Unfinished Project of Black Liberation" traces the promise and paradox of the American rule of law in three interwoven ways.
It focuses on explicating the ideals of the American rule of law by asking: how do we interpret its history and the goals of its constitutional framers to see the rule of law ambitions its foundational institutions express?
It considers those constitutional institutions as inextricable from the problem of race in the United States and the tensions between the rule of law as a protector of property rights and the rule of law as a restrictor on arbitrary power and a guarantor of legal equality. In that context, it explores the distinctive role of Black liberation movements in developing the American rule of law.
Finally, it considers the extent to which the American rule of law is compromised at its frontiers, and the extent that those compromises undermine legal protections Americans enjoy in the interior. It asks how America reflects the legal contradictions of capitalism and empire outside its borders, and the impact of those contradictions on its external goals.

March 4: Can Existing Antitrust Laws Govern a 21st-Century Digital Economy?

The University of Memphis Law Review invites you to attend this entirely VIRTUAL event exploring whether existing antitrust law is sufficient to govern a 21st-century digital economy. Modern antitrust law in the United States has developed from the original passage of the Sherman Act in 1890 to a system largely focused on protecting the competitive process and increasing consumer welfare. Is this approach adequate for the rapidly-changing digital economy of the 21st Century, where some claim that companies like Amazon, Apple, Facebook, and Google are reminiscent of the oil and steel trusts which motivated the original passage of the Sherman Act?
