April 30: Leveraging Technology to Prepare Briefs with Greater Efficiency and Accuracy

This course focuses on the importance of accuracy and efficiency in the review and preparation of briefs and motions. In particular, it stresses an attorney’s duty of competence, which includes an obligation to accurately cite and quote legal authorities in the briefs presented to the courts, as well as the duty to cite only valid legal authorities and to disclose adverse authorities. Additionally, it addresses the duty lawyers owe to their clients to work as efficiently as possible in the preparation of briefs and motions, which includes a concomitant obligation to leverage available technologies to assist in performing these tasks.

June 27: Defining Standards of Care in Construction Litigation

In much of the work our consultants are named as expert witnesses in litigation as “standard of care experts.” We render opinions about various parties and whether they performed above or below “the standard of care.” 
In a "conversation" with ChatGPT-4 we asked "Explain the meaning of 'Standard of Care' more simply, in approximately 100 words" and the response was: 
"The 'standard of care' is the behavior expected of a reasonable person in a particular situation. In legal terms, it's the level of attention, caution, and prudence someone should have to avoid harming others. For professionals like doctors or lawyers, it's higher due to their specialized knowledge. If they don't meet their standard and someone is harmed, they may be legally responsible. For example, a doctor would need to provide the same quality of care that any other competent doctor would provide in the same situation. If they don't, and a patient is harmed, they could be sued for malpractice."
That sounds reasonable. Now for the hard part: 
Apply this "standard" to virtually any party in any building project in cases as diverse as construction defect litigation, property & injury (general liability) claims, contract or scheduling claims, fire claims, and myriad whacky claims we never would have imagined. April 16: Judicial Review of Public Health Laws: From Deference to Indifference with Wendy E. Parmet

For most of American history, courts granted significant deference to public health officials. This deference, which could be and was at times abused, was justified by numerous factors including the broad authority that legislatures granted to health agencies, respect for scientific expertise, and the high value that the law gave to public health, as expressed by the maxim salus populi suprema lex
This tradition of judicial deference to public health authorities eroded during the COVID-19 pandemic as courts heard thousands of challenges to COVID-19 related public health orders. Although most courts upheld most uses of public health powers during the pandemic, many courts, including the Supreme Court, replaced deference with deep skepticism of expertise and indifference to the public health effects of their decisions. This shift was especially apparent in Free Exercise challenges to public health orders, as well as cases reviewing the scope of authority of federal officials under the novel major questions doctrine.
Building upon the book, Constitutional Contagion: COVID, the Courts and Public Health, this talk will review the shift from deference to indifference during the pandemic and discuss its post-pandemic spillover, including in challenges to the authority of the FDA and EPA and childhood vaccine laws. The talk will also examine the connections between the decline of deference and threats to democracy and consider what this new judicial era may augur for public health.

May 15: The Corporate Transparency Act

In January of 2021, Congress passed the Corporate Transparency Act (‘CTA’), which requires many corporations, limited liability companies, and other entities created in or registered to do business in the United States to report information about their beneficial owners—the persons who ultimately own or control the company—to the Financial Crimes Information Network (‘FinCEN’). 
The purpose? To prevent the illicit use of the corporate form to shield money launderers, drug traffickers, terrorists, and other bad actors. 
Pursuant to FinCEN implementing regulations, the Act now requires newly formed qualifying entities to report their beneficial ownership, and existing entities to evaluate whether they qualify and if so, prepare to file in January of 2025. This CLE will review the CTA and provide a primer on what constitutes a ‘reporting company’ under the Act for purposes of triggering reporting requirements. It will then discuss the requirements for identifying beneficial owners, note compliance dates, and summarize the information that must be reported. Along the way, attendees will also learn about resources supporting relevant workflow. 
Attendees will obtain an introduction to the key requirements of the Corporate Transparency Act, including: 
• How to identify whether an entity qualifies as a ‘reporting company’ and thereby must report beneficial ownership information; 
• How to evaluate which individuals qualify as beneficial owners of a reporting company; 
• What information must be included in the report, and key effective dates and filing deadlines; and 
• Penalties for non-compliance Moreover, attendees will also learn best practices for learning more on specific CTA-related topics through available research resources.
