June 19/Web: Regulators Scrutinize Use of "Rule 10b5-1 Trading Plans" by Corporate Directors Affiliated with Investment Advisers

Insider trading remains a government enforcement priority -- particularly in connection with trading by private investment funds. Over the past four years, the DOJ and SEC have focused on insider trading involving hedge funds and private equity funds as one of their key targets in the fight against white collar crime. The latest salvo in the government's ongoing war against insider trading, as reported by The Wall Street Journal in a recent series of articles, involves the potential misuse of so-called "Rule 10b5-1 trading plans" by corporate directors affiliated with investment advisers. These investigations are especially noteworthy because they involve investigations on both Wall Street and "Main Street" at the same time.
