The threat of shareholder derivative suits, or cases against directors and officers brought by shareholders on behalf of the company, continues to be a concern for directors and officers. Not only do these lawsuits traditionally require corporate governance changes, but they have resulted in increasingly expensive monetary settlements and judgments. Counsel should be prepared to advise corporate clients, their board members and executives about the many serious risks posed by derivative suits to best advise our clients. In this seminar, we will cover the mechanics of the derivative suit, particularly emphasizing the role of special litigation committees, settlement issues, major case developments, and consider the future of shareholder derivative litigation.
