Humankind coexists with every other living thing. People drink the same  water, breathe the same air, and share the same land as other animals.  Yet, property law reflects a general assumption that only people can own  land. 
The effects of this presumption are disastrous for wildlife and  humans alike.  The alarm  bells ringing about biodiversity loss are growing louder, and the  possibility of mass extinction is real. Anthropocentric property is a  key driver of biodiversity loss, a silent killer of species worldwide.  But as law and sustainability scholar Karen Bradshaw shows, if excluding  animals from a legal right to own land is causing their destruction,  extending the legal right to own property to wildlife may prove its  salvation. Wildlife as Property Owners advocates for folding  animals into our existing system of property law, giving them the  opportunity to own land just as humans do—to the betterment of all.

March 11: Ohio’s New Limited Liability Company Act

Glenn Morrical and Dan Schiau will discuss the entirely new Limited Liability Company Act that will take effect in Ohio January 1, 2022. The new act is not a revision of the existing law but is a complete replacement beginning from the ABA prototype. The new act eliminates many concepts that currently exist in Ohio’s current act, such as the distinction between member-managed and manager-managed LLCs, and provides even further freedom to the parties to structure their terms by agreement, with fewer standards mandated by statute. The new act also affords new opportunities to practitioners and business-owners alike, some of which can only be accomplished with language in an operating agreement that would have been ineffective under the current act. One such opportunity is to create series within an LLC so that only the assets of a specific series can be reached by a creditor or claimant of that series. The new act will also override some provisions that in the past allowed a creditor to take a security interest in a member’s interest even if the operating agreement prohibited it. Mr. Morrical and Mr. Schiau will provide an overview of many aspects of the new act that practitioners should be aware of so that they can properly advise their clients about the structure of their LLCs.

February 22: Securities Laws and Small Business Capital Formation: What Has the SEC Done for You Lately

In late 2020, entrepreneurs and investors welcomed several initiatives by the U.S. Securities and Exchange Commission (SEC) aimed at promoting small business capital formation and expanding participation in securities offerings carried out under exemptions from burdensome disclosure and procedural requirements of the federal securities laws.
The first step in the long-awaited expansion of the definition of “accredited investor” was taken in August, followed in November by new rules and rule amendments designed to harmonize and improve the exempt offering framework of the federal securities laws. Maximum offering amounts and investment limits that had constrained limited offering alternatives available for small business capital formation were raised. New rules address generic communications and solicitations of interest (“testing the waters”) by entrepreneurs and small business issuers and permit them to gauge market interest, tailor the size and other terms of a potential securities offering and reduce the costs of conducting an exempt offering before determining the best exemption to be relied on. Particularly meaningful for start-ups, the scope of permitted communications with angel investors and opportunities to interact with them in sponsored “demo day” events without running afoul of securities laws have been expanded. Overall, a new securities offering “integration” framework provides greater certainty to issuers relying on offering exemptions in parallel or in close time proximity in knowing that the separateness and exempt qualification of their offerings will be assured.
This CLE program will acquaint practitioners with these and other late-breaking SEC developments affecting private and other limited securities offerings that can play a key role in small business capital formation.

February 16: New Ways of Understanding the Patent-Eligibility of Software and Business Methods


The Alice v. CLS Bank test has proven to be virtually impenetrable and exceptionally difficult to apply in practice. As a consequence, innovators are unsure of the exact boundaries of patentable subject matter under 35 U.S.C. 101. This has increased the risk of making investments in protecting software and business method inventions. Our position is that a literal understanding of the test is not possible, because it is too vague and poorly defined. Nonetheless, a reasonably accurate way of predicting whether claims will survive an Alice challenge in the USPTO or courts is available. Particularly, a careful review of Federal Circuit Section 101 case law since 2014 results in three factors that, when present, make claims more likely to be eligible. Conversely, the lack of any of these factors make it less likely that the claim will be found eligible. We discuss these factors in detail, including how they are derived from the case law, and use them as an analytical framework for determining patenting
