January 18: Research & Drafting Techniques For Finance: Replacing LIBOR

In July of 2017, the United Kingdom’s Financial Conduct Authority announced that LIBOR (London Interbank Offered Rate) will be phased out in 2021, as regulators look to replace it with a more reliable alternative. LIBOR is a benchmark rate that is calculated from reported interest rates that select banks pay to borrow from each other on an unsecured basis. As the transition away from LIBOR towards a new, alternative benchmark rate is well underway, there are several steps lenders and finance counsel should take now to amend existing transaction documentation and to manage new transactions. This course will discuss the history, present and future of LIBOR.

December 13: An Update On The Committee On Foreign Investment In The U.S.

The Committee on Foreign Investment in the United States (CFIUS) has authority to review certain investment transactions by foreign persons in U.S. businesses. 
Through sweeping legislative changes in 2018 through the Foreign Investment Risk Review Modernization Act, CFIUS’s jurisdiction expanded significantly and mandated filings with respect to certain covered transactions for the first time. Since that time, various changes have occurred with the CFIUS process and the U.S. Government has continued to use the process as a powerful tool in protecting U.S. national security. In September, President Biden issued an Executive Order on Ensuring Robust Consideration of Evolving National Security Risks by the Committee on Foreign Investment in the United States
This session will explore CFIUS’s jurisdiction and the procedures and process of filings with CFIUS. The session will also explore efforts by CFIUS’s Office of Monitoring & Enforcement with respect to “non-notified” transactions.

March 29: Employment Law: Navigating The Cannabis Legalization Minefield

As nearly every state has legalized or decriminalized cannabis in some form, possession and cultivation of marijuana remains illegal under federal law. Employers are faced with many difficult questions relating to employee use of cannabis products. December 6: Leveraging Technology to Prepare Briefs with Greater Efficiency and Accuracy

This course focuses on the importance of accuracy and efficiency in the review and preparation of briefs and motions. In particular, it stresses an attorney’s duty of competence, which includes an obligation to accurately cite and quote legal authorities in the briefs presented to the courts, as well as the duty to cite only valid legal authorities and to disclose adverse authorities.
