September 23: Creative Solutions for Bolstering Balance Sheets Post COVID-19

EDITTED: SORRY, SPONSOR EDITTED THEIR LISTING TO PUT A PRICE ON IT. THIS IS NOT FREE.
Although it is hard to forecast when the COVID-19 crisis will finally come to an end, one thing is certain: Even before that time, a lot of companies will see their balance sheets severely weakened by the prolonged closures, stay-at-home orders and downturn to the economy. An impaired balance sheet can adversely affect a company’s toolbox for addressing the underlying problems in numerous ways, from making it harder to attract capital investments or secure loans to decreasing a company’s value on a sale of the business.
An often overlooked and effective strategy for improving a company’s balance sheet is using specialized insurance products to replace all or a portion of the company’s balance sheet reserves with insurance. In addition to removing or reducing the reserves, insurance has the added benefit of being a tax-deductible expense.
In this One-Hour Briefing, Joseph Ehrlich, National Practice Leader for Private Equity, Family Office and M&A at Beecher Carlson Insurance Services, LLC will discuss:
  • The uses of various insurance products to effectively eliminate or minimize balance sheet reserves, including
  • Credit insurance
  • Tax insurance
  • Litigation insurance and
  • Specific Contingency insurance
  • How using Intellectual Property insurance can help companies maximize borrowing basis for certain IP-backed loans
  • The uses of Tax Insurance to limit exposure for tax credit backed securities
  • The process for obtaining coverage, including underwriting considerations, costs, and timelines for binding coverage.

July 20: Family Offices in the Era of COVID-19: Changing Investment Strategies, Challenges and Opportunities

Family offices are often likened to snowflakes because, “like snowflakes, no two family offices are alike.” While it is certainly true that each family office is unique and has its own ethos and perspective, they also are likely share a set of characteristics that create unique investment opportunities and challenges. During and after the Novel Coronavirus pandemic, we expect that these unique attributes will inform the strategies and tactics that family offices employ to navigate -- and take advantage of -- the new investment landscape.
In this One-Hour Briefing, Joseph Ehrlich, National Practice Leader for Private Equity, Family Office and M&A at Beecher Carlson Insurance Services, LLC will be joined by a panel of family office professionals as they explore the following topics:
  • The potential impact of COVID-19 on the economy and the investment landscape
  • The impact of COVID-19 on current family office investments and their investment pipeline
  • The ways family offices are revising and rethinking investment and portfolio risk balancing strategies
  • The ways family offices are modifying their investment strategies considering COVID-19
  • The ways family offices are differentiating their offerings from private equity in this environment.

June 19: Avoiding Liability After the Quarantine: Risks for Building Owners and Building Operators

States are moving towards lifting quarantine restrictions, and employers will be requiring that their employees return to their physical offices as soon as permitted by law. Building owners and building operators are busy evaluating what a return to offices will look like in light of likely ongoing government regulations relating to physical distancing, ongoing public health concerns, and privacy. There may be increased risk of potential liability for building owners and building operators in the event that building tenants and visitors contract Covid-19 after the various state stay-at-home orders are lifted or modified.
During this One-Hour Briefing, real estate litigation partner Paul M. “Tad” O’Connor III and employment litigation partner Jessica Taub Rosenberg at Kasowitz Benson Torres LLP, who have significant experience advising real estate and hotel owners, developers, managers and brokerage firms in a wide variety of disputes, will examine the potential risks that may arise along with the relevant legal issues facing building owners and operators in light of a variety of existing real estate laws and possible new government regulations once a return to offices in New York and other states is permitted, including:
  • Claims of inadequate protection of persons entering buildings
  • Legal issues around ensuring compliance with medical screening from persons entering buildings
  • Decisions involving persons entering buildings who present signs of Covid-19
  • Potential privacy concerns relating to recordkeeping of building visitors suspected or known to have Covid-19
  • Possible conflicts in protocol between building managers and employer tenants.

June 17: The Expected and Unexpected Compliance Risks from the Coronavirus

The coronavirus has wreaked dramatic and profound changes to our economy and businesses. So the compliance risks that companies face must be dramatically different as well, right? In this discussion, three white collar practitioners experienced in investigating compliance failures and building state of the art corporate compliance programs will explain that the impacts of the coronavirus on compliance programs cannot be so easily generalized and the responses must be particularized as well.
In this Briefing, Vinson & Elkins LLP partners Matthew J. Jacobs, a former federal prosecutor, Jessica S. Heim, an experienced litigator in the area of government investigations, and Michael W. Ward, former prosecutor and in-house chief compliance officer in multiple companies and industries, explore the impact that the pandemic has on the effectiveness of corporate compliance programs.
They will cover:
  • Which business compliance risks are increased in the post-coronavirus environment and which risk levels may be unchanged
  • How widespread predictions of government crackdowns on coronavirus-related fraud further highlight the need for caution
  • Why past compliance issues may be more likely to be revealed than current misconduct
  • The easy appeal and hidden danger of making the “diving catch” for the business by granting exceptions during the period of “crisis”
  • The unglamorous but critical need for compliance teams to focus on consistent execution amid the many distractions of working from home
  • How procrastinating and rationalizing against hard choices will be viewed in the future with the luxury of hindsight.

Additionally, now is the time to proactively communicate the existence of virtual research tools and provide training when lawyers cannot fall back on print.
Please join Steven A. Lastres, Director of Knowledge Management Services at Debevoise & Plimpton LLP and Kathryn McRae, Director of Research & Knowledge at Hawkins Delafield & Wood LLP for a discussion addressing:
  • The long term opportunities this pandemic provides to eliminate all print from remaining collections

July 10: Ransomware During the Pandemic: Recent Trends and Continuing Risks

NOTE: for much of spring, programs like this were free with the use of the discount code "FREE COVID"; however this is not currently working. This program may not be free anymore - my apologies.
---
Law firms, in-house law departments, and their vendors continue to be targets for ransomware attacks. According to reports, a New York City law firm that represents high-profile entertainers recently fell victim to a ransomware attack and the cyberthieves threatened to publish almost 1TB of client data unless the firm pays a ransom. Cybercrime has increased dramatically during the pandemic and lawyers and their clients, many of whom are working remotely, without onsite IT departments and in locations less secure than their offices, are vulnerable to cyber attacks.
Topics:
  • What is ransomware?
  • Considerations for determining whether to pay the ransom
  • Factors to consider when deciding whether to involve law enforcement
  • Effective offline data backup to reduce the chances of backups encrypted as part of a ransomware attack
  • What the New York SHIELD Act’s cybersecurity provisions mean for lawyers and their clients.

May 28: Back at Work Around the World: Cross-Border Strategies for Multinationals Returning Staff to Workplaces in the Shadow of Coronavirus

When the coronavirus pandemic exploded around the world, multinationals sprang into action, safeguarding workplace health and safety globally by furloughing workers where necessary, shutting down workplaces, and shifting to work-from-home. But the tide is shifting. As countries ease lockdown restrictions, the “new normal” under COVID-19 means reopening offices and sites while protecting health and safety of employees, customers and visitors.
As long as this virus ravages the world, workforce reintegration raises tough problems of HR strategy, corporate social responsibility and legal compliance. For international employers, these problems are international. Multinationals want to meet their legal duty of care to safeguard workers’ health and safety in every workplace, in every country, while complying with employee rights and tough data privacy laws like EU GDPR. Proactive multinationals are forging global strategies to avoid inconsistent, piecemeal approaches that force local managers to “invent the wheel” independently in far-flung locales -- while simultaneously accounting for differences among local laws and varying COVID-19 infection patterns.
Please join Donald C. Dowling, Jr. and Lavanga V. Wijekoon, international employment lawyers on the COVID-19 Task Force of international employment law firm Littler Mendelson P.C. for this fast-paced session that addresses multinational headquarters designing consistent international return-to-work strategies in the shadow of the global pandemic, answering the tough questions:
  • What do the duty of care and duty to protect workplace healthy and safety require, worldwide, when implementing COVID-19 strategies like social distancing, mask-wearing and constant disinfecting?
  • Can employers require, as a precondition for entering overseas workplaces, temperature tests? Infection tests? Antibody tests? Health/travel disclosures? Doctors' clearances?
  • How can an employer be fair when one size just doesn’t fit all -- when some workers must report to the worksite while others work from home, others are on furlough, others are on quarantine -- and others are particularly susceptible to infection?
  • Where do foreign collective labor representatives fit into the return-to-work equation -- trade unions, works councils and those omnipresent “Health and Safety Committees”?
This session offers up lots of examples of specific local laws in specific countries that regulate returning staff to workplaces in the COVID-19 era. But rather than inventorying local foreign regulations, the program arms multinational decisionmakers and their legal advisors, during the ongoing coronavirus pandemic, with cutting-edge strategies and compliance tools to get employees back into workplaces worldwide -- legally and safely.

We will discuss tax and regulatory relief, including eased restrictions on making hand sanitizer and shipping samples to consumers, as well as state efforts to keep licensees in business, such as relaxed rules on delivery and curbside pickup, promotional considerations and the tied-house laws. It may be hard for state regulators to un-ring the bell, could a pandemic be the catalyst for permanent change to the archaic alcohol beverage laws?
