August 1: The Corporate Transparency Act

In January of 2021, Congress passed the Corporate Transparency Act (‘CTA’), which requires many corporations, limited liability companies, and other entities created in or registered to do business in the United States to report information about their beneficial owners—the persons who ultimately own or control the company—to the Financial Crimes Information Network (‘FinCEN’). 
The purpose? To prevent the illicit use of the corporate form to shield money launderers, drug traffickers, terrorists, and other bad actors. 
Pursuant to FinCEN implementing regulations, the Act now requires newly formed qualifying entities to report their beneficial ownership, and existing entities to evaluate whether they qualify and if so, prepare to file in January of 2025. 
This CLE will review the CTA and provide a primer on what constitutes a ‘reporting company’ under the Act for purposes of triggering reporting requirements. It will then discuss the requirements for identifying beneficial owners, note compliance dates, and summarize the information that must be reported. Along the way, attendees will also learn about resources supporting relevant workflow. Attendees will obtain an introduction to the key requirements of the Corporate Transparency Act, including: 
• How to identify whether an entity qualifies as a ‘reporting company’ and thereby must report beneficial ownership information; 
• How to evaluate which individuals qualify as beneficial owners of a reporting company; 
• What information must be included in the report, and key effective dates and filing deadlines; and 
• Penalties for non-compliance.
Moreover, attendees will also learn best practices for learning more on specific CTA-related topics through available research resources.

July 31: Leveraging Technology to Prepare Briefs with Greater Efficiency and Accuracy

This course focuses on the importance of accuracy and efficiency in the review and preparation of briefs and motions. In particular, it stresses an attorney’s duty of competence, which includes an obligation to accurately cite and quote legal authorities in the briefs presented to the courts, as well as the duty to cite only valid legal authorities and to disclose adverse authorities. Additionally, it addresses the duty lawyers owe to their clients to work as efficiently as possible in the preparation of briefs and motions, which includes a concomitant obligation to leverage available technologies to assist in performing these tasks.

The ABA Children’s Immigration Law Academy (CILA) invites you to a webinar presentation The ABA Children’s Immigration Law Academy (CILA) invites you to a complimentary 75 minute CLE webinar to learn more about gang-related asylum claims, the current conditions in Central America, and pro bono opportunities to get involved in children’s asylum cases. The webinar will include a presentation from Dr. Thomas Boerman, an expert in gangs and societal violence, on the current conditions in Guatemala, Honduras, and El Salvador.

July 30: Medicare Updates And The Inflation Reduction Act Of 2022

The U.S. Centers for Medicare and Medicaid Services (CMS) is the federal agency that provides health coverage to more than 160 million through Medicare, Medicaid, the Children's Health Insurance Program, and the Health Insurance Marketplace. CMS works in partnership with the entire health care community to improve quality, equity and outcomes in the health care system. 
This program will discuss an overview of Medicare and the expansions to Medicare under the Inflation Reduction Act of 2022. The new drug law makes improvements to Medicare that will expand benefits, lower drug costs, keep prescription drug premiums stable, and improve the strength of the Medicare program. The law also extends enhanced financial help to purchase HealthCare.gov and state-based Marketplace plans and expands access to Advisory Committee on Immunization Practices (ACIP) recommended vaccines for adults with Medicaid coverage. This program will also discuss recent CMS programmatic updates related to Medicaid and the Children’s Health Insurance Program.

While mold is not weapons-grade plutonium, it is a health concern for immunocompromised people, and when found in the built environment it means there is a moisture problem that needs to be professionally diagnosed, solved, and remediated. There are professional standards for making sure mold does not grow when water has suddenly been introduced into a building, and for remediation when it's found.
Cost estimating is a profession with specialized skills, training, education, and certifications; but it’s not rocket science. There is some math, so it’s scary to a lot of people. There are many moving parts to a remediation estimate, including one from Xactimate, but the idea is simple: What does it take to restore the building? We will explain all of this as simply and clearly as possible.

  • Holly J. Burke is an associate at Murphy Schiller & Wilkes LLP (MSW), where she focuses her practice on transactional commercial real estate matters. She represents clients in the acquisition, disposition, and leasing of a variety of real estate assets, including industrial, office, retail, medical and multi-family properties. In addition, she represents lenders and borrowers in connection with the negotiation of commercial mortgage and construction loans, and transferors/transferees in connection with the sale and purchase of liquor licenses. Holly received her law degree from Rutgers Law School – Newark, where she was the recipient of the Kenneth G. Wolfson Land Use Prize. She obtained her M.A. in Forensic Psychology from John Jay College of Criminal Justice. In 2006, Holly was awarded a partial scholarship to the Kislak Real Estate Institute at Monmouth University, where she earned a Certificate in Real Estate. She received her undergraduate degree from Bloomfield College, where she graduated summa cum laude.
  • Sy Justin Sommer is the Director of Litigation Success at LEAP Legal Software. Sy is a 2010 graduate of Fordham Law School and is an attorney admitted to practice in the State of New York. Sy began his career in the Family Law Department of Manhattan law firm Davidoff Hutcher & Citron LLP. After three years with DHC, Sy took a role with JPMorgan Chase Bank in Brooklyn, NY where he served as an Associate Vice President Senior Counsel in the bank’s Mortgage Banking Litigation group. In 2018, Sy sought to apply his legal education and experience in the legal technology space and joined LEAP with excitement to further the company’s mission of helping attorneys to be more productive with cloud technology. Despite being a born and raised New Yorker, Sy currently resides in Jersey City, New Jersey.
