October 29: Medical Device Regulation: Going from Bad to Worse . . . or Better? with George Horvath

Innovations in medical device technology hold the potential to improve health outcomes across the populace. But these same innovations can inflict widespread harm; by some estimates, medical devices caused 1.7 million injuries and 83,000 deaths between 2008 and 2017. Hence, we need for a regulatory system that ensures safety while simultaneously permitting—or ideally, fostering—innovation. Over the past half-century, Congress and the FDA have created a unique and complex regulatory system that seeks to achieve these goals. But according to many critics, this system is far too lax, allowing devices to reach the market without an adequate assessment of safety; others maintain that FDA regulation is stifling innovation and depriving patients of valuable technology.
This talk will focus on some of the perennial shortcomings of medical device regulation, on how the regulatory framework might be altered to achieve its goals, and, in an era of changing administrative priorities and limited agency resources, on how we might begin to move forward.

Prior to joining the UC Law SF faculty, Professor Horvath was an Assistant Professor of Law at the University of Akron School of Law. He was a postdoctoral Fellow in Public Law at the University of California, Berkeley, School of Law. He clerked for Judge John T. Noonan, Jr. on the Ninth Circuit Court of Appeals. November 12: AI in Action: How to Draft with GenAI

Generative AI is reshaping legal drafting—accelerating first drafts of contracts, pleadings, legal arguments, deposition questions, memos, client letters, emails, and clauses. This CLE shows practitioners how to use Gen AI to move from a blank page to a high-quality first draft faster.
A practical ethics segment covers competence with technology, confidentiality, and supervision—plus a checklist for avoiding hallucinations and misattributions, and for complying with evolving court expectations. Finally, we’ll walk through exemplar prompts and iterations, including responsive drafting from uploaded documents, and we’ll demonstrate how to verify authorities and reduce risk with citation validation.
Participants leave with a deeper understanding of prompts, an iteration playbook, and a defensible workflow to deploy AI drafting safely in everyday practice.

  •  Draft and iteratively refine legal documents using structured prompts.
  •  Use upload-based responsive drafting and citation validation from drafts and opposing filings.
  •  Apply an ethics-first checklist mapping Model Rules 1.1, 1.6, 5.3, and 3.3 to AI-assisted drafting.

November 12: Delaware at a Crossroads: Navigating Shifts in Corporate Law and Litigation

Delaware, the nation's corporate law hub, has recently seen legal upheaval - the Court of Chancery has been scrutinized for rulings affecting controlling stockholders, and the state legislature has enacted amendments that, some argue, limit the court's equitable jurisdiction. These developments led to several major companies reincorporating elsewhere, raising concerns among Delaware lawmakers about potential corporate flight to more purportedly business-friendly states.
This webinar will analyze these developments and their implications for Delaware corporate law and the influence of the Court of Chancery, and will look to what the future might hold for corporate governance and litigation in the state.
Learning Objectives:
  • Learn the significance of Delaware corporate law and the Court of Chancery's role in business disputes, including recent Chancery decisions that have led to the perception by some that Delaware forums have become hostile towards controlling shareholders.
  • Understand the legislative responses to Chancery opinions, including the "Market Practice Amendments" and SB 21, their impact on shareholder litigation, and the resulting "DExit" movement, as some companies may consider reincorporating to states like Texas and Nevada.
Who would Benefit from this Program?
  • Litigators whose clients go before Delaware courts in corporate or commercial matters.
  • Corporate attorneys trying to understand the recent amendments to Delaware’s general corporate law statute.
  • Out-of-state attorneys interested in Delaware developments that impact their incorporation decisions.

October 14: Unmasking the Financialization of Healthcare with Jacqueline Fox

Financialization of healthcare drains our current system of resources it needs to provide care. It occurs when money is siphoned off for private profit through mechanisms such as rent seeking, gamesmanship, and exploitative price setting.
This is not an ethically neutral activity, and the people profiting in this way ought to justify why they are entitled to this money, given the foreseeable negative effects what they are doing has on people’s health. This important problem is masked by current accounting methods and healthcare billing methods, which need to be changed to allow for a more transparent assessment of what is really occurring.
