Under the Employee Retirement Income Security Act (ERISA), plan sponsors must act in the best interest of their beneficiaries. However, with the increasing demand for sustainable and socially responsible investments, ERISA fiduciaries are now under pressure to integrate Environmental, Social, and Governance (ESG) criteria into their portfolios. Furthermore, the US Department of Labor (DOL) issued new rules outlining the factors that fiduciaries should consider when making investment decisions.

On August 25, 2022, the Securities and Exchange Commission (SEC) issued the final rule on pay versus performance (PVP) proxy disclosure which aimed to create a more transparent key performance measure. With this, it is crucial that the 2023 proxy statements disclose additional compensation and financial calculations such as the Compensation and Discussion Analysis (CD&A) as well as the relationship between executive pay and actual performance.

Terry currently serves on the Advisory Board of the CEP and is the Chairperson of the Society of Actuaries taskforce on stock option valuation. Terry is a frequent author and speaker regarding equity compensation and is known as one of the premiere experts on Performance Share programs, specifically Relative TSR plans.   • Stephen F. O’Byrne is President and co-founder of Shareholder Value Advisors Inc., a consulting firm that helps companies increase shareholder value through better performance measurement, incentive compensation and valuation analysis. His work on measuring the strength and cost-efficiency of top management incentives has been published in the Harvard Business Review, the Journal of Investing, Conference Board Director Notes, the Journal of Applied Corporate Finance and the WorldatWork Journal. He is the co-author, with Professor David Young of INSEAD, of EVA and Value-Based Management. November 16: Confronting History in Place: The Mapping Prejudice Project​

Mapping Prejudice mobilizes community members to identify and map racial covenants. Racial covenants are clausesc — a couple of lines of texts — that were embedded into property deeds to keep people who were not White from buying or occupying homes. From its base in the University of Minnesota Libraries, the team works in partnership with communities across the state and the nation.
Dr. Kirsten Delegard will narrate this history of covenants and the constellation of related practices that restricted access to housing and land ownership for people who were not White. She will also describe the innovative methodologies used in this work. Together, we will explore the question of next steps to address the damage wrought by these policies.

November 15: A New Leaf: Cannabis Legalization in Minnesota

This spring, Minnesota became the 23rd state to legalize the recreational use of cannabis, kicking off a process of expunging past convictions for marijuana possession and creating a regulatory framework for businesses to apply for licenses to legally grow, manufacture, and sell to the public. North Star Law Group partners James Gempeler, a criminal defense attorney, and Jen Randolph Reise, a business and regulatory attorney, will explain the main points of the new cannabis law, including:
