May 7: How to win an antitrust merger trial: lessons from FTC v Evonik/PeroxyChem

The U.S. antitrust agencies in recent years have aggressively sought to block mergers they view as anticompetitive, racking up an impressive win rate. However, earlier this year chemical manufacturers PeroxyChem – represented by Dechert LLP – and Evonik successfully defended the FTC’s challenge in federal court to their proposed merger, which has now closed.
Drawing from our trial experience in the Evonik/PeroxyChem merger challenge, we will examine strategies that companies can use to defeat a merger challenge, including:

• Early identification of the core issues.
• Development and execution of clear themes in discovery and at trial.
• Effective use of company, competitor and customer witnesses.
• Use of “hot documents” and other evidence.
• Successfully litigating the fix.
• Contractual considerations for preserving the ability to litigate.
