June 16: Flips and Financings: A Discussion Regarding Reverse Triangular Mergers and Venture Capital Raises in 2022

According to the National Venture Capital Association (NVCA), "[v]enture capital dealmaking, exit and fundraising values all broke records in 2021 by stunning amounts," with "top-line figures for the U.S. VC industry in 2021 show a staggering $329.9 billion was invested across an estimated 17,054 deals, a record for deal count and roughly double 2020’s previous deal value high." See source here. For the most part, in 2022, the trend towards quick and significant deployment of capital to both early and late stage startups has continued.
To take advantage of the robust financing environment, foreign early stage startups having raised limited Seed financing abroad, may consider flipping their companies and raising more significant priced rounds here in the US. How can corporate counsel best support these startups?
Join Lindsey S. Mignano and Jason Crain of Smith Shapourian Mignano PC for an informative webinar on the state of venture financing in 2022, how to flip foreign entities to procure venture financing, and how to help a company, foreign or American, raise a Series Seed or Series A round here in the US.
